Service & Nondisclosure Agreement

1. ACCEPTANCE OF SERVICE AGREEMENT

  • By contracting the services of Inkwell and Meyer LLC (also known as Rachael Meyer, Literary Editor, or I&M), the Author/Client indicates the acceptance and acknowledgment of terms and agreements detailed in this Service Agreement.

2. CONFIDENTIALITY & PUBLISHING RIGHTS 

  • The copyright, together with all publishing rights to any manuscript submitted, shall remain the property of the Author. Inkwell and Meyer LLC acquires no rights of ownership to the work hired to accomplish editing or another service under this agreement. Confidentiality is of the utmost importance. 

3. DELIVERY OF MANUSCRIPT

  • Author will deliver the Manuscript in either Word.doc or Word.docx (DOCX preferred) format via email to Inkwellandmeyer@gmail.com. Editing will then be completed via MS Word Track Change.
  • If another form is needed due to lack of Microsoft Word, please reach out with request to do so in order to find an appropriate option.

4. PAYMENTS & REFUNDS

  • Inkwell and Meyer LLC will issue invoices via Square. All fees will be invoiced in two payments unless other arrangements are agreed on in advance. A non-refundable deposit is due before work begins, to be deducted from the total payment. For new Clients, the first payment is due when scheduled. 50% of the remaining balance will be due halfway through the project and the final balance due upon completion. For established clientele, a non-refundable deposit is due before work begins, to be deducted from the total payment. The balance is due upon completion and prior to the final edits returned to Client. 
  • All payments made by the Client are non-refundable without special circumstances agreed upon by Client and Editor prior to the start of the editing process. A minimum of 50% cancellation fee will be retained. Once the editing process has begun, all monies are non-refundable. (If a refund is necessary, please allow thirty days for refund to be issued.)
  • A late fee of 20% per month will be charged for any and all payments not made within five (5) days of invoice due date unless arrangements are made in writing via email. Freelance entrepreneurs rely on knowing when payments are coming in. Please be respectful of this.  
  • IMPORTANT NOTE: If you reserve a slot for services with any independent contractor for editing, book cover design, formatting, proofreading, or other services needed to reach your goal of publishing, please inform them as soon as possible if a need should arise where you need to reschedule or cancel services. Please remember we as independent contractors plan our budgets based on scheduled work. 

5. INDEMNITY

  • The only responsibility of Inkwell and Meyer LLC is to provide in-depth editing services and/or formatting services, along with advice and/or suggestions to the Author of improvement to the manuscript. Inkwell and Meyer LLC will notify the Author of any legally questionable material as soon as it is discovered. I&M takes every effort to bring all such material to the attention of the Client. However, the Author/Client agrees to indemnify both Rachael Meyer, Literary Editor and Inkwell and Meyer LLC from any and all claims, including legal fees arising from any alleged defamation or copyright infringement committed by the Author in creating the manuscript.

6. LIMITATIONS

  • Fact-checking not included. Will discuss for an additional fee.
  • No guarantees are made as to the salability or marketability of the edited manuscript. Nor is there a guarantee that the manuscript will be completely error-free, though all efforts will be made to make it free of errors. (*see Guarantee below)​

7. GUARANTEE

  • Some editors might try to guarantee a perfect manuscript. We all know there is no such thing, unfortunately. We all make mistakes as we are human.  While our goal is to provide you with a manuscript that is error-free, we cannot guarantee that your book will be perfect. Every book has errors—and their manuscripts go through extensive developmental edits, copy edits, and the proofreading process, with several sets of eyes looking over each detail of every book. What we do guarantee is a manuscript shined and polished ​with few grammatical errors. ​In the end, we are certain you will be pleased with the result. ​
  • The manuscript and the editing provided are the property of the author. As owner, it is the author’s responsibility to accept, reject, and otherwise, correct any and all errors, including those marked or missed by I&M. Errors that make it to publication are that of the author. The author will not hold the editor responsible for any errors missed.

8. TERMINATION OF AGREEMENT

  • Rachael Meyer of Inkwell and Meyer LLC or Author/Client has the authority to terminate the Agreement at any time by giving the other party a written notice.

9. ACKNOWLEDGMENT

  • Inkwell and Meyer LLC requests acknowledgment of editing services provided in ebook and/or printed published work within the interior. The listing on the copyright page should contain the name, Rachael Meyer, Literary Editor, Inkwell and Meyer LLC, www.Inkwellandmeyer.com. (REMEMBER: It takes a village to self-publish a book, so it’s nice to always stand together and promote one another.)
  • Rachael Meyer also requests a print copy of any published work edited or formatted by Inkwell and Meyer LLC. Shipping address available via email or private message. 

​​A signed contract for each manuscript is available upon request. Otherwise, emails detailing services, along with this Service Agreement, will be considered signed and binding. ​​​*The reason contracts are not mandatory is because most I&M LLC clients prefer everything discussed in detail via email and with a detailed description included on the invoice. ​We aim to please. ​If you want everything in writing, just ask. 


The Fine Print

Inkwell and Meyer LLC reserves the right to refuse any manuscript for any reason.  The copyright, together with all publishing rights to any manuscript submitted, shall remain the property of the Author. Rachael Meyer of Inkwell and Meyer LLC acquires no rights of ownership to the work hired to accomplish. We respect and support all authors and their work. Confidentiality is of the utmost importance.  “What we discuss, and your manuscript content, is none of your mother’s business.”  We take confidentiality very seriously, and your manuscripts will never be shared, copied, or transmitted without express written consent from you.  


Non-Disclosure Agreement

Confidentiality is the utmost importance.

  • ​​This agreement is made between all clients who contract with Rachael Meyer, Literary Editor or Inkwell and Meyer LLC, furthermore referred to as CONTRACTED, and the Author, furthermore referred to as AUTHOR. ​
  • The CONTRACTED agrees and confirms that any and all work submitted to them by the AUTHOR is the rightful intellectual property and copyrighted material of the Facilitator. The submission of material for reading and editing privileges made exclusively under this agreement is in no way to be represented as purchased and/or bought property. 
  • The CONTRACTED agrees that under no circumstances will they redistribute, copy (either electronically or physically), share, or make public any material in any faction of size or quantity, including the title of work presented to the CONTRACTED to any third party outside of this Agreement. The CONTRACTED understands that this includes but is not limited to piracy and duplicating the manuscript in any form. 
    ​​​The CONTRACTED agrees to uphold this covenant until such time that a legally purchased or ‘gifted’ copy of the final published material has been received. 
    ​The CONTRACTED agrees that they will receive emails and messages from the AUTHOR. The CONTRACTED will be expected to thoroughly read the documents, make any suggestions and/or editing, as they deem necessary. The AUTHOR has the final say and will solely use the CONTRACTED’s input as the AUTHOR sees fit. The CONTRACTED will get rightful acknowledgments from the AUTHOR but is in no way, shape, or form entitled to any royalties made after publication. ​
